These Terms of Service ("Terms") govern your use of the parahubluxis analytics platform, website, and related services provided by parahubluxis AG, a company registered in Austria with registration number FN253614a ("parahubluxis", "we", "us", or "our").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Acceptance of Terms

Payment Terms and Billing

Payments are due in advance according to your billing cycle. We may suspend or terminate your access to our services if payments are overdue. You are responsible for providing current and accurate billing information.

Refunds are provided according to our refund policy as specified in your service agreement. Generally, fees paid for services already provided are non-refundable.

Intellectual Property

The parahubluxis platform, including all software, content, trademarks, logos, and other materials, is the exclusive property of parahubluxis and is protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use our services for your business purposes. This licence does not include the right to:

• Copy, modify, or create derivative works of our software or content
• Distribute, sell, lease, or sublicense our services to third parties
• Use our trademarks, logos, or branding without prior written consent
• Remove or alter any proprietary notices or labels

You retain ownership of your data and any content you create using our services. By using our services, you grant us the right to use anonymised and aggregated data for service improvement and analytics purposes.

Service Availability and Maintenance

We strive to maintain high service availability but cannot guarantee uninterrupted access to our services. We may perform scheduled maintenance, updates, or emergency repairs that temporarily affect service availability.

We will make reasonable efforts to provide advance notice of scheduled maintenance and to minimise service disruptions. We are not liable for any damages resulting from temporary service unavailability due to maintenance, updates, or technical issues beyond our control.

Third-Party Integrations

Our services may integrate with third-party platforms, applications, or services. These integrations are provided for your convenience, but we do not control third-party services and are not responsible for their availability, functionality, or content.

Your use of third-party services is subject to their respective terms of service and privacy policies. We disclaim any liability arising from your use of third-party services or any data shared with such services.

Limitation of Liability

To the maximum extent permitted by applicable law, parahubluxis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, arising out of or relating to your use of our services.

Our total liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the amount you paid to parahubluxis in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you to the extent prohibited by applicable law.

Disclaimers and Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that your use of our services is at your own risk.

While we strive to provide accurate analytics and insights, we do not guarantee the accuracy, completeness, or reliability of any data or analysis provided through our services. You are responsible for verifying and validating any information before making business decisions based on our analytics.

Indemnification

You agree to indemnify, defend, and hold harmless parahubluxis, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to:

• Your use of our services or violation of these Terms
• Your data or content provided to our services
• Your violation of any applicable laws or third-party rights
• Any negligent or wrongful conduct by you or your users

This indemnification obligation will survive termination of these Terms and your use of our services.

Termination

Either party may terminate these Terms and your access to our services at any time, with or without cause, upon written notice. We may also suspend or terminate your access immediately if you violate these Terms or engage in prohibited conduct.

Upon termination:

• Your access to our services will cease immediately
• You remain liable for all fees and charges incurred prior to termination
• We may delete your account and data according to our data retention policies
• Provisions relating to intellectual property, limitation of liability, and indemnification will survive

You may request export of your data within 30 days of termination, subject to our data retention policies and applicable law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Austria.

If you are a consumer residing in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable EU consumer protection laws.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or internet service provider failures.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and parahubluxis regarding our services and supersede all prior agreements and understandings.

No waiver of any provision of these Terms shall be deemed or shall constitute a waiver of any other provision. Any waiver must be in writing and signed by the party against whom the waiver is claimed.
